These Terms and Conditions ("Terms") constitute a legally binding agreement between you (whether an individual or entity) and Hitonvax, Inc. ("Company," "we," "us," or "our") concerning your access to and use of the Hitonvax website, services, and applications.

All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are owned by Hitonvax and protected by international copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use our services for their intended purpose only.

Both parties agree to maintain the confidentiality of any proprietary information received during the term of service. This includes:

IMPORTANT DISCLAIMER:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HITONVAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability shall not exceed the amount paid by you for the services in the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless Hitonvax and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

Upon termination, your right to use the services will cease immediately. All provisions of these Terms which should reasonably survive termination shall remain in effect.
12 Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms shall be resolved exclusively in the federal or state courts located in San Francisco County, California.
13 Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
Your continued use of our services after any changes constitutes acceptance of the new Terms.
